1. Who these terms are between
These terms govern the relationship between Asiaway Trading Ltd, a company registered in Hong Kong (“we”, “us”), and the business engaging us (“you”). They cover the services we provide: identifying and assessing suppliers, factory auditing, inspection, logistics coordination and related consultancy. They are business terms. They do not apply to consumers.
2. Quotations and orders
Prices are quoted in writing and remain valid for the period stated in the quotation. An engagement begins when you accept a quotation in writing and we confirm it. If your acceptance and our confirmation differ, our written confirmation governs. Anything not covered by the quotation is charged separately or agreed in writing.
3. Fees and payment
Payment is made on the terms set out in the quotation and in our invoice. We may charge interest on overdue amounts and may suspend work, or instruct suppliers to pause, while an account is overdue. Third-party costs – laboratory testing, travel, shipping – are passed on at cost and are not marked up.
4. What we do, and what we do not
We act on your instructions in dealing with suppliers. We do not manufacture, sell, import, or own the goods. We are not the producer, importer or distributor, and we are not responsible for placing the product on the market.
Inspection and audit reports describe what our staff saw, at that place and time, on the units or records examined. They are a point-in-time finding, not a guarantee of the quality, safety, conformity or compliance of an entire consignment or of future production.
5. Your responsibilities
You are responsible for the specification being complete and accurate, for making decisions promptly, and for ensuring the finished product meets the legal requirements of the market you sell it in, including product safety, labelling, marking and conformity assessment. You are responsible for complying with the law that applies to your own business.
6. Intellectual property
Your designs, brands, specifications and tooling remain yours. We use them only to carry out the work you have asked for, and we do not disclose them to anyone else.
7. Confidentiality
Each of us keeps the other’s confidential information private and uses it only for the engagement. We do not tell other customers who you are or what you are sourcing. This survives the end of the engagement.
8. Liability
Our total liability arising out of or in connection with an engagement is limited to the fees we have been paid for that engagement. We are not liable for indirect or consequential loss, loss of profit, loss of market, or loss of business opportunity. Nothing in these terms limits liability for fraud or for anything else that cannot lawfully be limited.
9. Delays
We are not liable for delay or failure caused by suppliers, factories, shipping lines, customs, port authorities, weather, strikes, public holidays or anything else outside our reasonable control. Where a delay is our fault we will tell you and re-plan the work.
10. Ending an engagement
Either side may end an engagement in writing. You pay for work done and costs committed up to that point. Clauses on confidentiality, intellectual property and liability continue afterwards.
11. Which law applies
These terms are governed by the laws of Hong Kong, and the courts of Hong Kong have exclusive jurisdiction over any dispute. Where you deal with us from the European Union or the United Kingdom, nothing in these terms removes any right you have under mandatory provisions of your local law.
12. Changes
We may update these terms. The version published on this page at the time you accept a quotation is the one that applies to that engagement.
